1.1 These general terms and conditions of sale (“GTC”) shall apply to all sales of products and services provided by ITS Science & Medical Pte Ltd (“ITS”) to a customer (“Purchaser”). ITS Science & Medical Pte Ltd is a business division under ITS GROUP.
1.2 These GTC shall supersede any conflicting terms contained on Purchaser’s purchase order or any document or instrument submitted by Purchaser unless expressly agreed to in writing by ITS.
2.1 A binding contract for the sale of products or services requires either (i) an offer from ITS explicitly marked as binding, which is accepted by Purchaser in writing, or (ii) an order (oral or otherwise) from Purchaser, which is confirmed by ITS in writing or by performance in furtherance of a submitted purchase order.
2.2 Purchaser may not cancel or change a binding contract without ITS’s prior express written consent. Products subject to governmental regulations (e.g. European Medicine Agency, FDA) and/or processing requirements (e.g. cGMP) may not be eligible for cancellation. Approval of cancellations or changes may be conditional on the payment by Purchaser of costs incurred by ITS, including, without limitation, storage or shipment costs, costs of producing non-standard materials, costs of purchasing non-returnable materials, cancellation costs imposed on ITS by its suppliers, and any other costs resulting from cancellation. A verified bill of costs issued by an officer or other authorized representative of ITS shall be conclusive as to the amount of such costs.
2.3 ITS reserves the right to suspend or cancel any order, in whole or in part, upon Purchaser‘s breach of these GTC or bankruptcy, insolvency, dissolution, receivership proceedings, or upon the occurrence of any event leading ITS to reasonably question Purchaser‘s willingness or ability to purchase.
2.4 Cancellation fees will be imposed to Purchaser in the following arrangement:
3.1 Deliveries are available in Singapore only. ITS reserves the right to charge a delivery charge of SGD 30.00 (subject to tax) for a value order below SGD 200.00 (exclude tax).
3.2 The lead time of the product is subject to stock availability. ITS will send an email to notify Purchaser on the lead time upon receipt of Purchase Order or Order Confirmation from Purchaser.
3.3 Except otherwise explicitly agreed, deliveries of products shall be dispatched from ITS's warehouse or third party warehouse engaged by ITS. ITS is free to choose the carrier and the forwarding company and the means of transport. ITS reserves the right to choose the method of packaging.
3.4 Delivery dates provided by ITS in offers and order confirmations are non-binding and the time of delivery shall not be of the essence. If the dispatch of the product ordered is delayed owing to circumstances for which Purchaser is responsible (including a lack of acceptance),or when the customer site is not ready to receive the goods. In case of such delays, any costs incurred by ITS due to the delay in delivery (in particular warehouse costs and charges) must be borne exclusively by Purchaser.
3.5 Partial deliveries (instalments) are permissible and may be invoiced by ITS immediately. Delay in delivery of any instalment shall not relieve Purchaser of its obligation to accept remaining deliveries.
3.6 Products sold are not returnable or exchangeable. Products not authorized for return include:
4.1 All prices published by ITS or quoted by ITS may be changed at any time without notice. Any quotation of prices provided by ITS is firm only if Purchaser places a corresponding order within the time specified in the quote or, if no time period is specified, within 30 days from the date of issuance of the quote. Purchaser must request shipment of the entire quantity ordered within the agreed contract period following the order date, unless otherwise stated in the quote.
4.2 Unless otherwise specified in ITS’s quotation, all prices are quoted in SGD.
4.3 All prices are exclusive of any tax, duty, custom or other fee of any nature imposed by any governmental or quasi-governmental authority. All such taxes or fees shall be paid by Purchaser. In the event ITS is required to prepay any such tax, Purchaser shall fully reimburse ITS. Purchaser is also responsible for standard delivery and handling charges, if any.
4.4 Despite ITS’s best efforts, on occasion it may be possible that a small number of the products may be incorrectly priced on the website. If ITS has made a mistake and a product's correct price is higher or lower than the price on the website, ITS may either contact the Purchaser before shipping to request whether the Purchaser wants to buy the product at the correct price or cancel his/her order. If the higher or lower incorrect price has been charged, ITS will contact the Purchaser to rebill or refund the price difference.
4.5 Payment with Credit Terms
Purchaser must pay invoices within 30 days from the invoice date or the agreed upon credit terms in the currency specified in ITS invoice.
4.6 Each order is a separate transaction, and Purchaser may not set-off payments from one order against another. If the Purchaser is late in making payment, ITS may suspend delivery or cancel the Contract, reject future orders, and charge a late-payment charge to Purchaser, from the due date until paid, at the rate of one percent (1.5%) per month (or, if less, the maximum amount permitted by law). The Purchaser agrees to pay this late charge when ITS demands. If ITS appoints a collection agency or an attorney to recover any unpaid amounts, ITS can charge all reasonable costs of collection, including all associated reasonable attorneys’ fees to Purchaser.
5.1 Limited Warranties for Instruments
Unless a different written warranty is included with product literature, ITS warrant that instruments will be free of manufacturer’s defects for 12 months upon successful installation and commissioning of instrument. However, regardless of installation date, this warranty will not last longer than 15 months from the date of delivery.
5.2 Exclusions
ITS warranties do not apply to consumables, defects or failures caused by (a) external sources such as short circuits or incorrect voltages or hackers; (b) normal wear and tear; (c) instruments sold to Purchaser as a ’used’ product; (d) contact with improperly used or unapproved chemicals or samples; (e) parts that are excluded from warranty in the instrument’s Supplementary Terms; (f) repair, modification, alteration, installation, de-installation, or transport by anyone other than ITS or a person authorized by ITS; (g) removal, or use, maintenance, storage, or handling in an improper, inadequate, or unapproved manner, such as failure to follow our instructions or operating guidelines, or protocols, operation outside of stated environmental or use specifications, or operation with unapproved software, materials or other products; (h) installation of software or interfacing, or use of the instrument in combination with software or products that ITS has not approved; (i) neglect, accident, or acts of nature. ITS may void the warranty if Purchaser re-export the products outside of Singapore.
5.3 Submitting Warranty Claims and Remedies
If a product does not meet ITS’s warranty, Purchaser must notify ITS in writing during the warranty period. For valid product claims timely made, ITS will replace or repair the product, or provide Purchaser with a credit for the price that he/she has paid, at our option, after the product is returned to ITS.
5.4 Limitations
ITS warranties extend only to the original Purchaser, and Purchaser cannot transfer them. In no event will ITS total liability for breach of warranty exceed the purchase price of the product or service. The above warranties are exclusive, and its makes no other representations or warranties of any kind whatsoever, express or implied, including without limitation any implied warranties of merchantability, of non-infringement, or regarding results obtained through the use of any product or service, whether arising from a statute or otherwise in law or from a course of performance, dealing or usage of trade, all of which are expressly disclaimed.
6.1 ITS reserves the right to refuse service to anyone for any reason at any time. The website may contain links to other websites. ITS is not responsible for the content or privacy practices associated with linked web sites as those links are provided for convenience only and may not updated or be well-maintained.
6.2 Purchaser understands that the information provided to ITS (not including credit card information), may be transferred unencrypted and involve transmissions over various networks; and changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
6.3 Purchaser agrees not to reproduce, duplicate, copy, sell, resell or exploit any portion of our Website, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by ITS.
6.4 Purchaser must ensure that his/her access to, or use of ITS Website is not illegal or prohibited by laws.
6.5 Purchaser must take his/her own precautions to ensure that accessing the Website does not expose to risk of viruses, malicious computer code or other forms of interference which may damage his/her computer system. ITS takes no responsibility for any such damage which may arise in connection with the use of ITS Website.
7.2 Force Majeure
In the event either party is prevented in whole or in material part from performing its obligations under this Agreement solely as a result of force majeure, upon the prompt giving of notice to the other party detailing such force majeure event and its anticipated duration, the obligations of the party so prevented shall be excused during such period of delay, and such party shall take whatever reasonable steps are necessary to relieve the effect of such cause as rapidly as possible.
7.3 Applicable Law and Jurisdiction
This Agreement is made pursuant to, and shall be construed and enforced exclusively in accordance with, the laws of Singapore, without giving effect to otherwise applicable principles of conflicts of law. The parties shall submit to the exclusive jurisdiction of the courts of Singapore.
7.4 Authority to Enter Into Agreement
Each party represents and warrants that it is authorized to enter into this Agreement and that in so doing it is not in violation of the terms or conditions of any contract or other agreement to which it may be a party.
7.5 Assignment
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns and designees; provided, however, neither party shall have the right to transfer, assign or delegate its rights or obligations under this Agreement or any portion thereof without the prior written consent of the other party (except that either party may assign this Agreement to a parent, subsidiary or successor corporation without such consent).
7.6 Confidentiality
Purchaser shall not, without ITS’s written consent, disclose any confidential information, including but not limited to documents, drawings, schematics, specifications, and pricing information. Purchaser shall take reasonable precautions against any such confidential information being acquired by unauthorized persons and shall not employ any such confidential information for its own use for any purpose.
7.7 Proprietary Rights
ITS, or its affiliates, is the owner of certain proprietary brand names, trademarks, trade names, logos and other intellectual property. Except as otherwise expressly permitted by ITS, no use of ITS’s or its affiliates’ brand names, trademarks, trade names, logos or other intellectual property is permitted, nor the adoption, use or registration of any words, phrases or symbols so closely resembling any of ITS’s or its affiliates’ brand names, trademarks, trade names, logos or other intellectual property that lead to confusion or uncertainty, or to impair or infringe the same in any manner, or to imply any endorsement by ITS of another entity’s products or services.
